EDGEFUL TERMS OF SERVICE

These Terms of Service ("Platform Terms") govern your access to and use of edgeful.com, the Edgeful platform, and all related services provided by Edgeful Inc. ("Edgeful," "we," "us," or "our"). By creating an account, accessing, or using our Services, you agree to be bound by these Platform Terms, our Privacy Policy, and any supplemental terms applicable to specific features (including the Terms of Service — Automated Trading ("Automation Terms"), the Terms of Service — Enabling a Strategy for Automation ("Enablement Terms"), and the API Terms of Service and License Agreement ("API Agreement")). If you do not agree, do not use the Services.

Section 1 — Definitions

• “Account” means the user account you create to access the Services.
• “Billing Period” means the period for which a Subscription fee is charged: one (1) month for a monthly Subscription or one (1) year for an annual Subscription. A Billing Period begins on the date the Subscription fee for that period is charged.
• “Content” means all text, data, analytics, charts, indicators, strategy frameworks, screener results, backtesting outputs, algorithms, software, and other materials available through the Services.
• “Pause” means a temporary hold on your Subscription at your election under Section 4.7, and “to Pause” means to request a Pause. A “Scheduled Pause” is a Pause you have requested that has not yet begun.
• “Pause Period” means the period of one (1) calendar month during which your Subscription is paused under Section 4.7. A Pause Period begins on the date that would have been your Renewal Date had you not Paused, and ends immediately before your postponed Renewal Date, which is the same calendar day of the following month or, if the following month has no such day, the last day of the following month, in each case as shown to you when you confirm the Pause.
• “Plan” means a subscription tier offered by Edgeful, as described in Section 3 and on the pricing page at edgeful.com, including any legacy or grandfathered tier or pricing that continues to apply to your Account.
• “Renewal Date” means the date on which your next Billing Period is scheduled to begin and the Subscription fee for it is due, as shown in your Account settings. Unless postponed by a Pause under Section 4.7, the Renewal Date is the day after the last day of your current Billing Period.
• “Services” means edgeful.com, the Edgeful platform, all related tools, features, integrations, APIs, and any updates or modifications thereto.
• “Subscription” means the paid Plan you select to access certain features of the Services, as described in Sections 3 and 4.
• “User” (also “you” or “your”) means any individual or entity that creates an Account or otherwise accesses or uses the Services.

Section 2 — Eligibility and Account Registration

To access the Services, you must satisfy all of the following requirements: (a) you must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) you must provide accurate, current, and complete information when registering for an Account and promptly update that information as necessary to keep it accurate; (c) you may maintain only one Account per person—duplicate or fraudulent accounts are prohibited; (d) you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, and you agree to notify Edgeful immediately of any unauthorized access or use; (e) you must not be listed on any applicable government sanctions list, including any list maintained by the U.S. Office of Foreign Assets Control (OFAC), and must not be located in a jurisdiction subject to a comprehensive U.S. embargo; (f) you are solely responsible for all activity conducted through your Account, whether authorized by you or not; and (g) if you are accessing the Services to place, route, or manage trades on behalf of another individual or entity, you represent and warrant that you have all necessary legal authority, licenses, and authorizations to do so.

Section 3 — Services Overview

Edgeful offers its Services through a tiered subscription model designed to meet the needs of traders at every level. The tiers currently include:

• Essential. Provides access to data analytics, screening tools, and AI-powered chat features to support research and decision-making.
• Pro. Expands access beyond Essential with broader ticker and report coverage, live data features, and additional historical data for the API, subject to the limits shown at purchase.
• All Access / Algos. Includes all Essential and Pro features and adds broker connectivity and automated trade execution capabilities.
• API Access. Allows programmatic integration with the Edgeful platform for custom workflows and third-party applications.
• Enterprise. Custom solutions for organizations requiring dedicated support, enhanced data access, or specialized integrations.

Certain features—including automated trade execution, strategy enablement, and API access—may be subject to supplemental terms, including the Automation Terms, the Enablement Terms, and the API Agreement. In the event of any conflict between these Platform Terms and such supplemental terms with respect to those specific features, the supplemental terms will control.

The Services may include features that process trading activity, performance data, account metrics, and historical transaction data to generate analytics, reports, and insights.

Edgeful reserves the right to modify, suspend, or discontinue any feature, functionality, or aspect of the Services at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

Section 4 — Subscription and Billing

4.1 Payment Processing. All payment processing is handled by Stripe, Inc. Edgeful does not collect or store your credit card numbers or other sensitive payment-card data. By providing payment information, you authorize Stripe to charge the applicable fees to your designated payment method in accordance with these Platform Terms and Stripe’s own terms of service.

4.2 Auto-Renewal. Your Subscription renews automatically on each Renewal Date for a new Billing Period of the same length (monthly or annual, as selected at purchase) unless, before that Renewal Date, you cancel under Section 4.3 or Pause under Section 4.7. You authorize Edgeful, through Stripe, to charge the payment method on file for your Account for the then-current Subscription fee for your Plan on each Renewal Date. If you Pause, your Renewal Date is postponed as described in Section 4.7.

4.3 Cancellation. You may cancel your Subscription at any time online through your Account settings. Before your cancellation is completed, Edgeful may offer you alternatives to canceling, such as a Pause or, where available, a different Plan, and may ask why you are canceling. You may decline any alternative and any request for a reason, and complete your cancellation online in the same session without contacting support. Your cancellation is complete when Edgeful displays an on-screen confirmation; leaving the cancellation process before that point neither cancels nor Pauses your Subscription. Cancellation takes effect at the end of your then-current Billing Period; you will retain access to the Services through that date and will not be charged again. Canceling while a Pause is scheduled or in effect is governed by Section 4.7(g).

4.4 No Partial Refunds. Except as required by applicable law, all fees are non-refundable. Edgeful does not issue refunds or credits for unused portions of a Billing Period or for unused days of a Pause Period, including upon cancellation, Pause, early resumption of a Pause, or termination of your Account.

4.5 Price Changes. Edgeful reserves the right to change subscription fees at any time. Edgeful will provide at least 30 days’ prior notice of any price increase, which may be delivered by email to the address associated with your Account or by posting a notice within the Services. A price change applies to your Subscription from the first Renewal Date, including a Renewal Date postponed by a Pause, or the first early resumption charge under Section 4.7(f), that falls on or after the effective date of the price change. Your continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing. If you do not agree to a price change, you may cancel your Subscription under Section 4.3 before it takes effect.

4.6 Taxes. All fees are exclusive of any applicable taxes, levies, duties, or similar governmental assessments, including value-added, sales, use, or withholding taxes. You are solely responsible for paying any such taxes associated with your use of the Services.

4.7 Pausing Your Subscription.

(a) Availability. If your Subscription is in good standing, you may Pause it for one Pause Period at a time, either from your Account settings or when offered during the cancellation process. A Subscription is in good standing if it is active, is not past due, and is not suspended under Section 12. If your Subscription is scheduled to cancel and you Pause it before the cancellation takes effect, the Pause replaces the scheduled cancellation and your Subscription will resume under Section 4.7(f) unless you cancel again. Pausing is available on monthly and annual Subscriptions to any Plan, including legacy or grandfathered Plans. Pausing is not available for complimentary Subscriptions or any Subscription that Edgeful designated as not eligible for pausing when it was purchased, unless Edgeful states otherwise. A temporary discount, coupon, or credit does not by itself make a Subscription ineligible. Edgeful may modify, limit, or discontinue the ability to Pause at any time in accordance with Section 3.

(b) When a Pause Begins. A Pause does not begin immediately. When you request a Pause, it becomes a Scheduled Pause and your Subscription continues, with full access, until the end of your then-current Billing Period. The Pause Period begins on the date that would otherwise have been your Renewal Date. The date and time your access ends, the date your Pause Period ends, and the date and amount of your next charge are shown to you before you confirm the Pause and in your Account settings afterward. A Pause is requested only when you affirmatively confirm it. By confirming, you authorize Edgeful, through Stripe, to charge the amount shown on the date shown, unless you cancel or resume early under this Section 4.7. Scheduling a Pause does not forfeit any part of a Billing Period you have already paid for.

(c) Billing During a Pause. You will not be charged a Subscription fee for the Pause Period, and no invoice is issued for it. Your Renewal Date is postponed once, to the end of the Pause Period. The Subscription fee for the Billing Period you have already paid for is not prorated, credited, or refunded.

(d) Undoing a Scheduled Pause. At any time before the Pause Period begins, you may undo a Scheduled Pause from your Account settings. If you do, your Subscription continues as if the Pause had not been requested, and your Renewal Date and Subscription fee are unchanged.

(e) Access During a Pause. During the Pause Period you will not have access to the Services, other than your Account settings and billing pages and the ability to resume or cancel. Without limiting the foregoing, when the Pause Period begins: (i) any automated trade execution, algorithm alerts, and automated strategies are turned off and remain off until you turn them back on after resumption, and turning them off also turns off any exit, stop, or risk-management logic those strategies would otherwise have executed; (ii) API access is disabled; (iii) access to any Edgeful indicators or scripts on TradingView or any other third-party platform is removed; and (iv) you will be removed from any Edgeful community channel reserved for subscribers. Edgeful does not close, cancel, or otherwise manage any open position or pending order with your broker when a Pause begins. You are solely responsible for closing or otherwise managing your positions and orders before your access ends, and Sections 9 and 10 apply to any loss arising from a position or order that is open when your access ends. The Automation Terms continue to apply to any automated activity. Edgeful will retain your Account data, saved settings, and User Content during the Pause Period in accordance with the Privacy Policy, but does not guarantee that any third-party connection, credential, or integration will remain valid. You may exercise any rights you have under the Privacy Policy, including requests to access or delete your personal data, at any time during a Pause Period.

(f) Resuming. Your Subscription resumes automatically at the end of the Pause Period unless you have canceled under Section 4.7(g). On resumption, Edgeful will charge the payment method on file for a new Billing Period on the same Plan and at the recurring Subscription fee for that Plan as it applied to your Subscription immediately before the Pause Period began, including any legacy or grandfathered pricing but excluding any coupon, credit, or other temporary discount, and subject to any price change under Section 4.5 (the “Resumption Fee”). You may also resume early at any time during the Pause Period from your Account settings. The amount you will be charged and the length of the new Billing Period are shown to you before you confirm early resumption. If you confirm, you authorize Edgeful, through Stripe, to charge the Resumption Fee on that day; a new Billing Period of the same length as your previous Billing Period (monthly or annual) begins on that day, and your Renewal Date is reset accordingly. No credit or refund is given for the unused portion of the Pause Period. Access is restored when the resumption charge succeeds. After resumption, features that were turned off or removed under Section 4.7(e) may require action by you to reinstate (for example, re-enabling automated strategies, reconnecting your broker, or re-submitting your TradingView username), and restoration of access on third-party platforms may take a reasonable period of time. You may not change Plans while a Pause is scheduled or in effect, except by accepting a different Plan that Edgeful offers you during the cancellation process, in which case any Scheduled Pause is canceled and the terms shown when you accept the offer apply. You may change Plans after resumption.

(g) Canceling While a Pause Is Scheduled or in Effect. You may cancel your Subscription at any time while a Pause is scheduled or in effect. If you cancel while a Pause is scheduled but before the Pause Period has begun, your cancellation replaces the Scheduled Pause: you retain access through the end of your then-current Billing Period, after which your Subscription ends and you will not be charged again. If you cancel during the Pause Period, your Subscription ends immediately, you will not be charged again, and you will not receive any refund or credit. Section 4.4 applies in either case.

(h) Frequency. You may have only one Pause scheduled or in effect at a time. After a Pause Period ends, you may not schedule another Pause until you have been charged for a new full Billing Period, and any Pause you then schedule begins, as provided in Section 4.7(b), when that Billing Period ends. A Billing Period that begins with an early resumption charge under Section 4.7(f) counts for this purpose. A Scheduled Pause that you undo before it begins does not count as a Pause for this purpose. Edgeful may decline or reverse a Scheduled Pause, or treat the conduct as a breach under Section 12, where it reasonably determines that the Pause feature is being used in a manner that violates these Platform Terms, including through the use of more than one Account.

(i) Relationship to Other Sections. A Pause is not a cancellation of your Subscription, a closure of your Account, or a suspension or termination by Edgeful under Section 12. These Platform Terms, the Privacy Policy, and any applicable supplemental terms continue to apply during a Pause Period, and nothing in this Section 4.7 limits Edgeful’s rights under Section 12.

Section 5 — Acceptable Use Policy

You agree not to, and will not permit any third party to, engage in any of the following prohibited activities:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of any part of the Services.
• Use the Services, Content, or any data derived therefrom to develop, train, or improve any competing product or service.
• Scrape, crawl, harvest, or use any automated means to access or collect data from the Services except through authorized API access.
• Circumvent, disable, or interfere with any security, access control, rate-limiting, or usage-monitoring features of the Services.
• Redistribute, sublicense, resell, or make available any Content or data from the Services to any third party without prior written consent.
• Use the Services for any unlawful purpose or in violation of any applicable law or regulation, including securities laws, commodity trading regulations, or anti-money laundering requirements.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Transmit any viruses, malware, or other harmful code through the Services.
• Interfere with or disrupt the integrity or performance of the Services or any related systems or networks.
• Use the Services in any manner that could damage, disable, overburden, or impair Edgeful's servers or networks.
• Attempt to gain unauthorized access to any part of the Services, other users' accounts, or any systems or networks connected to the Services.
• Use the Services to generate, distribute, or publish any content that constitutes investment advice, trading recommendations, or personalized financial guidance to third parties.

Edgeful reserves the right to investigate and take appropriate action, including suspension or termination of your Account, for any violation of this Acceptable Use Policy. Without limiting the foregoing, you may not use the Services, Content, or any data derived therefrom to create datasets, train machine learning or artificial intelligence models, or develop any product or service that replicates, substitutes for, or competes with the core functionality of the Services.

Edgeful may monitor usage of the Services, including API interactions, request patterns, and system access, for purposes of security, compliance, enforcement of usage restrictions, and protection of the Services.

Section 6 — Intellectual Property

All Content, software, algorithms, data, analytics, trademarks, trade names, logos, and other IP associated with the Services are and remain the exclusive property of Edgeful Inc. or its licensors. Subject to these Platform Terms, Edgeful grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial trading and analytical purposes. You may not copy, modify, distribute, sell, or lease any part of the Services or Content. All rights not expressly granted herein are reserved by Edgeful. “Edgeful,” the Edgeful logo, and all related names, marks, and trade dress are trademarks of Edgeful Inc. and may not be used without prior written permission.

Section 7 — User-Generated Content and Data

You retain ownership of any content, data, or configurations you create using the Services (“User Content”). By submitting User Content, you grant Edgeful a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and display such User Content solely for the purpose of providing, improving, and maintaining the Services. Edgeful may collect, aggregate, anonymize, and de-identify usage data, trading activity, API usage patterns, and platform interactions (“Anonymized Data”). Anonymized Data does not identify you personally and may be used, retained, and commercialized by Edgeful for any lawful business purpose, including product development, analytics, benchmarking, research, and the improvement of algorithmic and AI-driven features.

Section 8 — Third-Party Platforms and Integrations

The Services may integrate with or rely on third-party platforms, including TradingView, NinjaTrader, and supported brokerages (such as Tradovate, NinjaTrader, and ProjectX). Your use of any third-party platform is governed by that third party’s own terms of service and privacy policy. Edgeful is not responsible for the availability, accuracy, or performance of any third-party platform. Edgeful does not endorse, warrant, or assume liability for any third-party product, service, or content. Any data transmitted between the Services and a third-party platform is subject to the third party’s data handling practices. If a third-party platform modifies, suspends, or terminates its services or APIs, Edgeful shall not be liable for any resulting interruption or limitation of the Services.

Section 9 — Disclaimers

THE SERVICES, CONTENT, AND ALL DATA, ANALYTICS, AND MATERIALS PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR TITLE.

EDGEFUL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. EDGEFUL DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR ANALYTICS PROVIDED THROUGH THE SERVICES.

ALL DATA PROVIDED THROUGH THE SERVICES IS HISTORICAL IN NATURE. HISTORICAL PERFORMANCE DATA, BACKTESTING RESULTS, AND STATISTICAL ANALYSES ARE NOT INDICATIVE OF FUTURE RESULTS. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE PERFORMANCE. TRADING FUTURES INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS.

EDGEFUL IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, COMMODITY TRADING ADVISOR, OR FIDUCIARY. THE SERVICES DO NOT CONSTITUTE INVESTMENT ADVICE, TRADING RECOMMENDATIONS, OR PERSONALIZED FINANCIAL GUIDANCE. EDGEFUL DOES NOT EXERCISE DISCRETION OVER ANY USER'S TRADING DECISIONS, DOES NOT MODIFY OR ALTER TRADE INSTRUCTIONS, DOES NOT HOLD CUSTODY OF USER FUNDS, AND DOES NOT ACT IN A FIDUCIARY CAPACITY.

YOU ACKNOWLEDGE AND AGREE THAT ANY TRADING DECISIONS YOU MAKE ARE MADE SOLELY AT YOUR OWN RISK AND DISCRETION. EDGEFUL SHALL HAVE NO LIABILITY FOR ANY TRADING LOSSES, WHETHER RESULTING FROM YOUR USE OF THE SERVICES, RELIANCE ON ANY CONTENT OR DATA, OR OTHERWISE.

CERTAIN FEATURES OF THE SERVICES MAY UTILIZE AUTOMATED SYSTEMS, INCLUDING ARTIFICIAL INTELLIGENCE OR MACHINE LEARNING, TO GENERATE OUTPUTS, ANALYTICS, OR REPORTS. SUCH OUTPUTS MAY BE INCOMPLETE, INACCURATE, OR INCONSISTENT AND MUST BE INDEPENDENTLY VERIFIED. EDGEFUL DISCLAIMS ANY RESPONSIBILITY FOR RELIANCE ON SUCH OUTPUTS.

Section 10 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDGEFUL INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF EDGEFUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDGEFUL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE PLATFORM TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO EDGEFUL DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, EDGEFUL'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

Section 11 — Indemnification

You agree to indemnify, defend, and hold harmless Edgeful Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• (a) Your access to or use of the Services, including any trading activity conducted through or in connection with the Services;
• (b) Your breach or alleged breach of these Platform Terms, any supplemental terms, or any applicable law or regulation;
• (c) Your User Content or any content you submit, post, or transmit through the Services;
• (d) Your violation of any rights of any third party, including any intellectual property, privacy, or publicity rights; and
• (e) Any dispute between you and any third party, including any broker, exchange, or counterparty, arising out of or relating to your use of the Services.

This indemnification obligation shall survive the termination of these Platform Terms and your use of the Services.

Section 12 — Suspension and Termination

Edgeful may suspend or terminate your Account and access to the Services at any time, with or without notice, for any reason, including but not limited to: (a) your breach of these Platform Terms or any supplemental terms; (b) your engagement in any prohibited activity under the Acceptable Use Policy; (c) a request by law enforcement or a government agency; (d) discontinuance or material modification of the Services; or (e) unexpected technical or security issues.

You may cancel your Subscription as described in Section 4.3. If your Account is closed, whether at your request or under this Section 12, the closure cancels your Subscription, whether active, paused, or with a Scheduled Pause, takes effect when the closure is processed, and is a termination for purposes of this Section 12. Cancellation of a Subscription takes effect at the end of your then-current Billing Period or, if you cancel during a Pause Period, immediately, as described in Section 4.7(g). In either case you will not receive a refund for any remaining portion of your Subscription.

Upon termination (which does not include a Pause): (a) your right to access and use the Services will immediately cease; (b) Edgeful may delete your Account data, User Content, and any associated information, unless retention is required by law; and (c) all provisions of these Platform Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 9, 10, 11, 13, and 15.

Section 13 — Governing Law and Dispute Resolution

Governing Law. These Platform Terms and any dispute arising out of or relating to these Platform Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Arbitration. Any dispute, claim, or controversy arising out of or relating to these Platform Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with the AAA Consumer Arbitration Rules then in effect. The arbitration shall take place in Wilmington, Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver.

YOU AND EDGEFUL AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

Carve-Outs. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Either party may also bring an individual action in small claims court for claims within that court’s jurisdictional limits.

Section 14 — Privacy

Your privacy is important to us. Please review our Privacy Policy, which is incorporated into these Platform Terms by reference, for information on how we collect, use, and disclose your personal information. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

Section 15 — General Provisions

(a) Entire Agreement. These Platform Terms, together with the Privacy Policy and any applicable supplemental terms (including the Automation Terms, Enablement Terms, and API Agreement), constitute the entire agreement between you and Edgeful with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

(b) Severability. If any provision of these Platform Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

(c) Waiver. The failure of Edgeful to enforce any right or provision of these Platform Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Platform Terms shall be effective only if in writing and signed by Edgeful.

(d) Modification. Edgeful reserves the right to modify these Platform Terms at any time. We will provide notice of material changes by posting the updated Platform Terms on edgeful.com and updating the “Effective Date” above. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Platform Terms. For material changes, Edgeful will use commercially reasonable efforts to provide at least thirty (30) days’ notice before the changes take effect.

(e) Assignment. You may not assign or transfer these Platform Terms, or any rights or obligations hereunder, without the prior written consent of Edgeful. Edgeful may assign these Platform Terms without restriction. Any attempted assignment in violation of this provision shall be null and void.

(f) Notices. Edgeful may provide notices to you via email, in-app notification (including through Intercom), or by posting on edgeful.com. Notices to Edgeful should be sent to help@edgeful.com. Notice shall be deemed given when sent by email or posted on the platform.

(g) Force Majeure. Edgeful shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, internet or telecommunications failures, third-party platform outages, or power outages.

(h) No Agency. Nothing in these Platform Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and Edgeful. Neither party has the authority to bind the other or to incur any obligation on the other’s behalf.

(i) Electronic Communications. By using the Services, you consent to receiving electronic communications from Edgeful, including emails, in-app messages, and notices posted on edgeful.com. You agree that all agreements, notices, disclosures, and other communications that Edgeful provides to you electronically satisfy any legal requirement that such communications be in writing.

(j) Sharing Your Experience with Edgeful. You may share your experience using the Services, including examples of outputs, strategies, or tools you have built, including on social media or other platforms. However, you may not share or distribute underlying data, datasets, or content in a manner that exposes or substitutes for the Services, or that enables third parties to access Edgeful’s data outside the intended use of the platform. Edgeful reserves the right to determine, in its sole discretion, whether any such sharing is permissible and may restrict or prohibit any use that it believes violates these Terms or undermines the integrity of the Services.

Your use of API data remains subject to the API Terms of Service.
