EDGEFUL TERMS OF SERVICE

These Terms of Service ("Platform Terms") govern your access to and use of edgeful.com, the Edgeful platform, and all related services provided by Edgeful Inc. ("Edgeful," "we," "us," or "our"). By creating an account, accessing, or using our Services, you agree to be bound by these Platform Terms, our Privacy Policy, and any supplemental terms applicable to specific features (including the Terms of Service — Automated Trading ("Automation Terms"), the Terms of Service — Enabling a Strategy for Automation ("Enablement Terms"), and the API Terms of Service and License Agreement ("API Agreement")). If you do not agree, do not use the Services.

Section 1 — Definitions

• “Account” means the user account you create to access the Services.
• “Content” means all text, data, analytics, charts, indicators, strategy frameworks, screener results, backtesting outputs, algorithms, software, and other materials available through the Services.
• “Services” means edgeful.com, the Edgeful platform, all related tools, features, integrations, APIs, and any updates or modifications thereto.
• “Subscription” means the paid plan you select to access certain features of the Services, as described in Section 4.
• “User” (also “you” or “your”) means any individual or entity that creates an Account or otherwise accesses or uses the Services.

Section 2 — Eligibility and Account Registration

To access the Services, you must satisfy all of the following requirements: (a) you must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) you must provide accurate, current, and complete information when registering for an Account and promptly update that information as necessary to keep it accurate; (c) you may maintain only one Account per person—duplicate or fraudulent accounts are prohibited; (d) you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, and you agree to notify Edgeful immediately of any unauthorized access or use; (e) you must not be listed on any applicable government sanctions list, including any list maintained by the U.S. Office of Foreign Assets Control (OFAC), and must not be located in a jurisdiction subject to a comprehensive U.S. embargo; (f) you are solely responsible for all activity conducted through your Account, whether authorized by you or not; and (g) if you are accessing the Services to place, route, or manage trades on behalf of another individual or entity, you represent and warrant that you have all necessary legal authority, licenses, and authorizations to do so.

Section 3 — Services Overview

Edgeful offers its Services through a tiered subscription model designed to meet the needs of traders at every level. The tiers currently include:

• Essential. Provides access to data analytics, screening tools, and AI-powered chat features to support research and decision-making.
• Pro. Expands access beyond Essential with broader ticker and report coverage, live data features, and additional historical data for the API, subject to the limits shown at purchase.
• All Access / Algos. Includes all Essential and Pro features and adds broker connectivity and automated trade execution capabilities.
• API Access. Allows programmatic integration with the Edgeful platform for custom workflows and third-party applications.
• Enterprise. Custom solutions for organizations requiring dedicated support, enhanced data access, or specialized integrations.

Certain features—including automated trade execution, strategy enablement, and API access—may be subject to supplemental terms, including the Automation Terms, the Enablement Terms, and the API Agreement. In the event of any conflict between these Platform Terms and such supplemental terms with respect to those specific features, the supplemental terms will control.

The Services may include features that process trading activity, performance data, account metrics, and historical transaction data to generate analytics, reports, and insights.

Edgeful reserves the right to modify, suspend, or discontinue any feature, functionality, or aspect of the Services at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

Section 4 — Subscription and Billing

4.1 Payment Processing. All payment processing is handled by Stripe, Inc. Edgeful does not collect or store your credit card numbers or other sensitive payment-card data. By providing payment information, you authorize Stripe to charge the applicable fees to your designated payment method in accordance with these Platform Terms and Stripe’s own terms of service.

4.2 Auto-Renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected at purchase) unless you cancel before the renewal date. You authorize Edgeful and Stripe to charge your payment method on file for the then-current subscription fee at the start of each renewal period.

4.3 Cancellation. You may cancel your Subscription at any time through your Account settings or by contacting Edgeful support. Cancellations take effect at the end of the current billing period; you will retain access to the Services through that date.

4.4 No Partial Refunds. Except as required by applicable law, all fees are non-refundable. Edgeful does not issue partial refunds for unused portions of a billing period, including upon cancellation or account termination.

4.5 Price Changes. Edgeful reserves the right to change subscription fees at any time. Edgeful will provide at least 30 days’ prior notice of any price increase, which may be delivered by email to the address associated with your Account or by posting a notice within the Services. Your continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing.

4.6 Taxes. All fees are exclusive of any applicable taxes, levies, duties, or similar governmental assessments, including value-added, sales, use, or withholding taxes. You are solely responsible for paying any such taxes associated with your use of the Services.

Section 5 — Acceptable Use Policy

You agree not to, and will not permit any third party to, engage in any of the following prohibited activities:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of any part of the Services.
• Use the Services, Content, or any data derived therefrom to develop, train, or improve any competing product or service.
• Scrape, crawl, harvest, or use any automated means to access or collect data from the Services except through authorized API access.
• Circumvent, disable, or interfere with any security, access control, rate-limiting, or usage-monitoring features of the Services.
• Redistribute, sublicense, resell, or make available any Content or data from the Services to any third party without prior written consent.
• Use the Services for any unlawful purpose or in violation of any applicable law or regulation, including securities laws, commodity trading regulations, or anti-money laundering requirements.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Transmit any viruses, malware, or other harmful code through the Services.
• Interfere with or disrupt the integrity or performance of the Services or any related systems or networks.
• Use the Services in any manner that could damage, disable, overburden, or impair Edgeful's servers or networks.
• Attempt to gain unauthorized access to any part of the Services, other users' accounts, or any systems or networks connected to the Services.
• Use the Services to generate, distribute, or publish any content that constitutes investment advice, trading recommendations, or personalized financial guidance to third parties.

Edgeful reserves the right to investigate and take appropriate action, including suspension or termination of your Account, for any violation of this Acceptable Use Policy. Without limiting the foregoing, you may not use the Services, Content, or any data derived therefrom to create datasets, train machine learning or artificial intelligence models, or develop any product or service that replicates, substitutes for, or competes with the core functionality of the Services.

Edgeful may monitor usage of the Services, including API interactions, request patterns, and system access, for purposes of security, compliance, enforcement of usage restrictions, and protection of the Services.

Section 6 — Intellectual Property

All Content, software, algorithms, data, analytics, trademarks, trade names, logos, and other IP associated with the Services are and remain the exclusive property of Edgeful Inc. or its licensors. Subject to these Platform Terms, Edgeful grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial trading and analytical purposes. You may not copy, modify, distribute, sell, or lease any part of the Services or Content. All rights not expressly granted herein are reserved by Edgeful. “Edgeful,” the Edgeful logo, and all related names, marks, and trade dress are trademarks of Edgeful Inc. and may not be used without prior written permission.

Section 7 — User-Generated Content and Data

You retain ownership of any content, data, or configurations you create using the Services (“User Content”). By submitting User Content, you grant Edgeful a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and display such User Content solely for the purpose of providing, improving, and maintaining the Services. Edgeful may collect, aggregate, anonymize, and de-identify usage data, trading activity, API usage patterns, and platform interactions (“Anonymized Data”). Anonymized Data does not identify you personally and may be used, retained, and commercialized by Edgeful for any lawful business purpose, including product development, analytics, benchmarking, research, and the improvement of algorithmic and AI-driven features.

Section 8 — Third-Party Platforms and Integrations

The Services may integrate with or rely on third-party platforms, including TradingView, NinjaTrader, and supported brokerages (such as Tradovate, NinjaTrader, and ProjectX). Your use of any third-party platform is governed by that third party’s own terms of service and privacy policy. Edgeful is not responsible for the availability, accuracy, or performance of any third-party platform. Edgeful does not endorse, warrant, or assume liability for any third-party product, service, or content. Any data transmitted between the Services and a third-party platform is subject to the third party’s data handling practices. If a third-party platform modifies, suspends, or terminates its services or APIs, Edgeful shall not be liable for any resulting interruption or limitation of the Services.

Section 9 — Disclaimers

THE SERVICES, CONTENT, AND ALL DATA, ANALYTICS, AND MATERIALS PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR TITLE.

EDGEFUL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. EDGEFUL DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR ANALYTICS PROVIDED THROUGH THE SERVICES.

ALL DATA PROVIDED THROUGH THE SERVICES IS HISTORICAL IN NATURE. HISTORICAL PERFORMANCE DATA, BACKTESTING RESULTS, AND STATISTICAL ANALYSES ARE NOT INDICATIVE OF FUTURE RESULTS. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE PERFORMANCE. TRADING FUTURES INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS.

EDGEFUL IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, COMMODITY TRADING ADVISOR, OR FIDUCIARY. THE SERVICES DO NOT CONSTITUTE INVESTMENT ADVICE, TRADING RECOMMENDATIONS, OR PERSONALIZED FINANCIAL GUIDANCE. EDGEFUL DOES NOT EXERCISE DISCRETION OVER ANY USER'S TRADING DECISIONS, DOES NOT MODIFY OR ALTER TRADE INSTRUCTIONS, DOES NOT HOLD CUSTODY OF USER FUNDS, AND DOES NOT ACT IN A FIDUCIARY CAPACITY.

YOU ACKNOWLEDGE AND AGREE THAT ANY TRADING DECISIONS YOU MAKE ARE MADE SOLELY AT YOUR OWN RISK AND DISCRETION. EDGEFUL SHALL HAVE NO LIABILITY FOR ANY TRADING LOSSES, WHETHER RESULTING FROM YOUR USE OF THE SERVICES, RELIANCE ON ANY CONTENT OR DATA, OR OTHERWISE.

CERTAIN FEATURES OF THE SERVICES MAY UTILIZE AUTOMATED SYSTEMS, INCLUDING ARTIFICIAL INTELLIGENCE OR MACHINE LEARNING, TO GENERATE OUTPUTS, ANALYTICS, OR REPORTS. SUCH OUTPUTS MAY BE INCOMPLETE, INACCURATE, OR INCONSISTENT AND MUST BE INDEPENDENTLY VERIFIED. EDGEFUL DISCLAIMS ANY RESPONSIBILITY FOR RELIANCE ON SUCH OUTPUTS.

Section 10 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDGEFUL INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF EDGEFUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDGEFUL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE PLATFORM TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO EDGEFUL DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, EDGEFUL'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

Section 11 — Indemnification

You agree to indemnify, defend, and hold harmless Edgeful Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• (a) Your access to or use of the Services, including any trading activity conducted through or in connection with the Services;
• (b) Your breach or alleged breach of these Platform Terms, any supplemental terms, or any applicable law or regulation;
• (c) Your User Content or any content you submit, post, or transmit through the Services;
• (d) Your violation of any rights of any third party, including any intellectual property, privacy, or publicity rights; and
• (e) Any dispute between you and any third party, including any broker, exchange, or counterparty, arising out of or relating to your use of the Services.

This indemnification obligation shall survive the termination of these Platform Terms and your use of the Services.

Section 12 — Suspension and Termination

Edgeful may suspend or terminate your Account and access to the Services at any time, with or without notice, for any reason, including but not limited to: (a) your breach of these Platform Terms or any supplemental terms; (b) your engagement in any prohibited activity under the Acceptable Use Policy; (c) a request by law enforcement or a government agency; (d) discontinuance or material modification of the Services; or (e) unexpected technical or security issues.

You may cancel your Account at any time by contacting help@edgeful.com or through your account settings. Cancellation will take effect at the end of your current billing period, and you will not receive a refund for any remaining portion of your Subscription.

Upon termination: (a) your right to access and use the Services will immediately cease; (b) Edgeful may delete your Account data, User Content, and any associated information, unless retention is required by law; and (c) all provisions of these Platform Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 9, 10, 11, 13, and 15.

Section 13 — Governing Law and Dispute Resolution

Governing Law. These Platform Terms and any dispute arising out of or relating to these Platform Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Arbitration. Any dispute, claim, or controversy arising out of or relating to these Platform Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with the AAA Consumer Arbitration Rules then in effect. The arbitration shall take place in Wilmington, Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver.

YOU AND EDGEFUL AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

Carve-Outs. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Either party may also bring an individual action in small claims court for claims within that court’s jurisdictional limits.

Section 14 — Privacy

Your privacy is important to us. Please review our Privacy Policy, which is incorporated into these Platform Terms by reference, for information on how we collect, use, and disclose your personal information. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

Section 15 — General Provisions

(a) Entire Agreement. These Platform Terms, together with the Privacy Policy and any applicable supplemental terms (including the Automation Terms, Enablement Terms, and API Agreement), constitute the entire agreement between you and Edgeful with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

(b) Severability. If any provision of these Platform Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

(c) Waiver. The failure of Edgeful to enforce any right or provision of these Platform Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Platform Terms shall be effective only if in writing and signed by Edgeful.

(d) Modification. Edgeful reserves the right to modify these Platform Terms at any time. We will provide notice of material changes by posting the updated Platform Terms on edgeful.com and updating the “Effective Date” above. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Platform Terms. For material changes, Edgeful will use commercially reasonable efforts to provide at least thirty (30) days’ notice before the changes take effect.

(e) Assignment. You may not assign or transfer these Platform Terms, or any rights or obligations hereunder, without the prior written consent of Edgeful. Edgeful may assign these Platform Terms without restriction. Any attempted assignment in violation of this provision shall be null and void.

(f) Notices. Edgeful may provide notices to you via email, in-app notification (including through Intercom), or by posting on edgeful.com. Notices to Edgeful should be sent to help@edgeful.com. Notice shall be deemed given when sent by email or posted on the platform.

(g) Force Majeure. Edgeful shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, internet or telecommunications failures, third-party platform outages, or power outages.

(h) No Agency. Nothing in these Platform Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and Edgeful. Neither party has the authority to bind the other or to incur any obligation on the other’s behalf.

(i) Electronic Communications. By using the Services, you consent to receiving electronic communications from Edgeful, including emails, in-app messages, and notices posted on edgeful.com. You agree that all agreements, notices, disclosures, and other communications that Edgeful provides to you electronically satisfy any legal requirement that such communications be in writing.

(j) Sharing Your Experience with Edgeful. You may share your experience using the Services, including examples of outputs, strategies, or tools you have built, including on social media or other platforms. However, you may not share or distribute underlying data, datasets, or content in a manner that exposes or substitutes for the Services, or that enables third parties to access Edgeful’s data outside the intended use of the platform. Edgeful reserves the right to determine, in its sole discretion, whether any such sharing is permissible and may restrict or prohibit any use that it believes violates these Terms or undermines the integrity of the Services.

Your use of API data remains subject to the API Terms of Service.
