This API Terms of Service and License Agreement ("API Agreement") governs your access to and use of Edgeful Inc.’s (“Edgeful,” “we,” “us,” or “our”) application programming interface (“API”) and any data, content, functionality, or services made available through such API (collectively, “API Services”). This API Agreement supplements and is incorporated into the Edgeful Terms of Service (the “Platform Terms”) and the Edgeful Privacy Policy (the “Privacy Policy”). In the event of a conflict between this API Agreement and the Platform Terms, this API Agreement controls with respect to API-specific matters, and the Platform Terms control in all other respects, including general liability, dispute resolution, and risk allocation. Capitalized terms used but not defined herein have the meanings assigned to them in the Platform Terms.
1. DEFINITIONS
For purposes of this API Agreement:
“API Data” means any data, outputs, reports, analytics, signals, alerts, datasets, screener results, historical candle data (including OHLCV), volume profiles, backtesting outputs, or other information made available through the API, whether delivered in real time or on a delayed or historical basis.
“Authorized Use” means internal, non-commercial use by you for personal trading-related analysis, research, tooling, or decision support. For the avoidance of doubt, Authorized Use does not include any use that makes API Data or Derived Data available to, or accessible by, any third party, whether directly or indirectly.
“Credentials” means API keys, tokens, secrets, or other authentication mechanisms issued by Edgeful to access the API.
“Derived Data” means any data, model, dataset, signal, index, report, visualization, or output that is created using, based on, incorporates, or is derived from API Data, in whole or in part.
“Enterprise Licensee” means a user who has executed a separate written Enterprise License Agreement with Edgeful governing API access at expanded scope, volume, or entitlements beyond the standard API tiers.
“Rate Limits” means the maximum number of API requests permitted within a given time period, as specified by Edgeful for each Service Tier and communicated through the API documentation or your account dashboard.
“Service Tier” means the level of API access to which you have subscribed, which determines the scope of available API Data, including but not limited to the number of tickers, historical depth, access to real-time versus delayed data, data granularity (e.g., per-minute versus daily candles), and applicable Rate Limits.
2. LICENSE GRANT
Subject to your continued compliance with this API Agreement and the Platform Terms, and payment of all applicable fees, Edgeful grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the API solely for Authorized Use.
This license is conditional, non-perpetual, and may be suspended or revoked at any time in Edgeful’s sole discretion. No ownership rights are transferred, and all rights not expressly granted are reserved by Edgeful.
3. SCOPE OF PERMITTED USE
You may use the API solely to retrieve API Data within the scope of your Service Tier and integrate such data into your own internal systems, including personal dashboards, databases, spreadsheets, or analytical tools, provided that such use remains strictly internal and is not made available to any third party. You may not access API Data outside the entitlements of your Service Tier, including tickers, data granularity, historical depth, or real-time access not included in your subscription.
You may cache or store API Data locally only to the extent reasonably necessary for your immediate internal use (e.g., populating a personal dashboard or running a one-time analysis). Long-term storage, systematic archiving, aggregation into standalone datasets, or use of cached API Data as a persistent data repository is prohibited unless expressly authorized in writing by Edgeful or permitted under an Enterprise License Agreement.
4. DATA ENTITLEMENTS AND RESTRICTIONS
API Data is licensed, not sold. You acknowledge that all API Data — including historical candle data, volume profiles, screener results, analytics, and any other outputs — is proprietary to Edgeful and constitutes Edgeful’s trade secrets and confidential information. API Data may not be redistributed, published, sublicensed, resold, or otherwise made available externally in any form, whether in raw, processed, or derived form.
You may not use API Data or Derived Data to create or support:
Any use of API Data outside the expressly permitted scope constitutes a material breach of this Agreement.

In addition to all other restrictions set forth herein, you shall not:
6. RATE LIMITS, MONITORING, AND ENFORCEMENT
Edgeful implements Rate Limits and usage thresholds for each Service Tier. Your applicable Rate Limits are communicated through the API documentation, your account dashboard, or API response headers. Edgeful reserves the right to throttle, suspend, or terminate API access at any time, with or without notice, to protect system integrity, prevent abuse, or enforce this Agreement. Repeated or intentional Rate Limit violations may result in permanent revocation of API access.
Edgeful monitors API usage, including request patterns, endpoints accessed, query parameters (including ticker symbols), data volume, IP addresses, timestamps, request success or failure status, and latency. This monitoring is conducted for purposes of service delivery, security, abuse detection, compliance, billing verification, and enforcement. You consent to such monitoring as a condition of API access. For details on how this data is collected, stored, and used, see the Privacy Policy.
7. SERVICE TIERS AND BILLING
API access is offered under tiered subscription plans (each, a “Service Tier”), which vary based on data scope (number of tickers and asset classes), historical depth, access to real-time versus delayed data, data granularity (e.g., per-minute, hourly, or daily candles), and applicable Rate Limits. The specific entitlements of each Service Tier are described in the API documentation and your account dashboard. Edgeful reserves the right to modify pricing, features, Rate Limits, and access levels at any time upon reasonable notice to you. Enterprise Licensees are governed by the terms of their separate Enterprise License Agreement, which may supersede the Service Tier structure set forth herein.
All API subscriptions are billed in advance through Stripe. Failure to comply with billing obligations may result in immediate suspension or termination of API access. No refunds will be issued for partial billing periods unless expressly provided otherwise in your Service Tier terms or Enterprise License Agreement.
8. SECURITY AND CREDENTIALS
You are solely responsible for maintaining the confidentiality and security of your Credentials. You may not share, publish, embed in client-side code, or otherwise expose Credentials to any third party. Credentials must be stored securely (e.g., server-side environment variables, encrypted secrets managers) and must not be hardcoded in source code, committed to version control repositories, or included in client-side applications. Any activity conducted using your Credentials is deemed authorized by you and is your sole responsibility.
You must promptly notify Edgeful at help@edgeful.com of any suspected unauthorized access, credential compromise, or misuse of your API access. Edgeful may immediately revoke and reissue Credentials upon receiving such notice, without liability to you for any resulting service interruption.
9. THIRD-PARTY DEPENDENCIES
The API and API Data rely on third-party data providers, cloud infrastructure, and content delivery networks. Edgeful does not control such providers and is not responsible for outages, inaccuracies, data gaps, delays, or service interruptions arising from third-party systems. Edgeful does not warrant that third-party data feeds will be continuously available or error-free.
10. DISCLAIMERS
THE API SERVICES AND ALL API DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. EDGEFUL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AND UNINTERRUPTED AVAILABILITY.
EDGEFUL DOES NOT GUARANTEE THAT THE API WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. API DATA, INCLUDING HISTORICAL CANDLE DATA, VOLUME PROFILES, SCREENER RESULTS, AND BACKTESTING OUTPUTS, REPRESENTS RECORDS OF PAST MARKET OCCURRENCES AND IS NOT A FORECAST, PREDICTION, OR RECOMMENDATION OF FUTURE PERFORMANCE. YOU ACKNOWLEDGE THAT API DATA MAY CONTAIN ERRORS, OMISSIONS, GAPS, OR INACCURACIES, AND THAT YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY DATA BEFORE MAKING TRADING OR INVESTMENT DECISIONS.
EDGEFUL IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, OR FIDUCIARY. NOTHING IN THE API DATA OR API SERVICES CONSTITUTES INVESTMENT ADVICE, A TRADING RECOMMENDATION, OR A SOLICITATION TO BUY OR SELL ANY SECURITY OR FINANCIAL INSTRUMENT. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN TRADING AND INVESTMENT DECISIONS.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGEFUL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.
EDGEFUL’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE API SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR API ACCESS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION AND EVEN IF EDGEFUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Edgeful and its officers, directors, employees, affiliates, and agents from and against any and all claims, demands, suits, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the API or API Data; (b) your violation of this API Agreement, the Platform Terms, or any applicable law; (c) your creation, distribution, or use of Derived Data; (d) any unauthorized redistribution or commercialization of API Data; or (e) any unauthorized use or compromise of your Credentials.
13. TERMINATION
Edgeful may suspend or terminate your API access at any time, with or without notice, for any reason, including violation of this API Agreement, suspected misuse, excessive or abusive API usage, non-payment, security concerns, or risk to the platform.
Upon termination: (a) your right to access and use the API immediately ceases; (b) you must discontinue all use of API Data and Derived Data; (c) you must permanently delete all locally stored copies of API Data and Derived Data, unless retention is required by applicable law; and (d) you must, upon Edgeful’s request, certify in writing that you have complied with the foregoing obligations. Sections 1, 4, 5, 8, 9, 10, 11, 12, 14, 15, 16, and 17 shall survive termination of this API Agreement.
14. AUDIT AND COMPLIANCE
Edgeful reserves the right to request reasonable information to verify your compliance with this Agreement. Any such request will be limited in scope and subject to confidentiality protections. Edgeful shall not be required to disclose sensitive internal systems, proprietary methodologies, or security infrastructure.
15. DATA PRIVACY AND API LOGGING
In connection with your use of the API, Edgeful collects and processes certain information as described in the Privacy Policy, including API request logs (user ID, endpoint accessed, ticker symbols queried, timestamps, IP address, request success or failure status, and latency data). This data is used for service delivery, security monitoring, abuse detection, billing verification, and enforcement of Rate Limits and this API Agreement. 16. RELATIONSHIP TO PLATFORM TERMS
This API Agreement is incorporated into and governed by the Platform Terms. All provisions of the Platform Terms relating to limitation of liability, dispute resolution, governing law, arbitration, class action waiver, and general risk allocation apply fully to this API Agreement. In the event of a conflict, this API Agreement controls with respect to API-specific matters (including data entitlements, Rate Limits, and API-specific prohibited conduct), and the Platform Terms control in all other respects.
17. GENERAL PROVISIONS
This API Agreement, together with the Platform Terms and the Privacy Policy, constitutes the entire agreement between you and Edgeful with respect to API access and supersedes all prior discussions, understandings, or agreements on this subject. If any provision of this API Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. Edgeful’s failure to enforce any provision shall not constitute a waiver of that provision. Edgeful may update this API Agreement from time to time by posting the revised version on its website with an updated effective date. Your continued use of the API after any such update constitutes your acceptance of the revised API Agreement. Edgeful may assign this API Agreement without your consent in connection with a merger, acquisition, or sale of all or substantially all of its assets. You may not assign your rights or obligations under this API Agreement without Edgeful’s prior written consent.
